1. ABOUT OUR SERVICES Phran Kriz Logistics provides integrated logistics and supply-chain services, which may include: Less than Container Load (LCL) shipping Full Container Load (FCL) shipping Sea freight Air freight Trucking and inland transportation Warehousing and distribution Customs clearance and documentation Procurement and product sourcing Cargo consolidation and deconsolidation Packaging and export preparation Container loading and cargo securing Door-to-door delivery Supply-chain management Supplier coordination and inspection Other logistics services agreed with the Customer We may perform services ourselves or appoint third-party carriers, shipping lines, airlines, transport operators, warehouses, customs agents, port operators, inspection companies, overseas agents, suppliers or other service providers. 2. CONTRACTUAL BASIS A contract for services may arise when: Phran Kriz Logistics issues a quotation or service proposal and the Customer accepts it; the Customer confirms a booking; the Customer pays an agreed deposit or service charge; cargo is delivered to or collected by Phran Kriz Logistics; Phran Kriz Logistics begins performing the requested services; or the parties enter into a separate written agreement. A quotation alone does not necessarily constitute acceptance of a shipment. Where a separate written contract has been signed, that contract will prevail over these Terms to the extent of any inconsistency. Where a bill of lading, air waybill, carrier tariff, warehouse receipt or other transport document applies to a particular shipment, the terms contained in that document may additionally govern the relevant transportation. 3. CUSTOMER AUTHORITY The person requesting our services represents and warrants that they: have authority to act for the Customer; have authority to tender the cargo; have authority to provide the information and documents supplied to us; have the necessary rights and permissions relating to the goods; and are authorised to enter into the transaction. Where a person acts on behalf of a company, organisation, supplier or third party, that person confirms that they have the authority to bind that entity. 4. QUOTATIONS AND ESTIMATES Our quotations are based on the information available to us at the time of quotation. Unless expressly stated otherwise, quotations are estimates and may be subject to change because of: changes in freight rates; fuel or carrier surcharges; currency fluctuations; changes in cargo weight or volume; incorrect cargo information; port or terminal charges; customs charges; inspection fees; storage; demurrage; detention; documentation charges; government charges; changes in taxes or duties; changes in carrier schedules; changes in routing; or other charges imposed by third parties. Where actual charges differ from the original estimate, the Customer shall be responsible for the applicable additional charges. 5. CARGO INFORMATION The Customer must provide complete, accurate and truthful information regarding every shipment. This includes, where applicable: description of goods; quantity; gross and net weight; dimensions; volume; value; country of origin; destination; packaging; HS codes; dangerous-goods classification; permits and licences; consignee details; shipper details; and any other information reasonably required for transportation or customs purposes. The Customer is responsible for losses, penalties, delays, additional charges or other consequences arising from inaccurate, incomplete, misleading or late information. Phran Kriz Logistics may verify shipment information where reasonably necessary. 6. PACKAGING AND CONDITION OF CARGO Unless otherwise agreed in writing, the Customer is responsible for ensuring that cargo is properly packed, labelled, marked and prepared for transportation. Packaging must be reasonably suitable for: handling; loading and unloading; stacking; road transportation; air transportation where applicable; sea transportation; normal exposure to transportation conditions; and the nature of the goods. Where we provide packaging, palletising, loading or cargo-securing services, those services will be performed with reasonable commercial care. We are not responsible for loss or damage resulting from inadequate packaging, inherent defects, unsuitable packaging supplied by the Customer, or failure by the Customer to disclose the characteristics of the goods. 7. PROHIBITED AND RESTRICTED GOODS The Customer must not tender prohibited, unlawful or restricted goods without prior written disclosure and approval. This may include goods subject to special transportation, customs, safety, licensing or regulatory requirements. The Customer must notify Phran Kriz Logistics before shipment if cargo: is dangerous or hazardous; requires temperature control; is fragile or unusually sensitive; requires special handling; is subject to import or export restrictions; requires a permit, licence or certificate; contains batteries or other regulated components; or is otherwise subject to special regulatory requirements. Phran Kriz Logistics may refuse, suspend, isolate or terminate a shipment where we reasonably believe the cargo presents a legal, safety, regulatory or operational risk. The Customer shall indemnify Phran Kriz Logistics against reasonable losses, penalties, costs and liabilities arising from undeclared or improperly declared restricted cargo, subject always to applicable law. 8. DANGEROUS GOODS Dangerous goods must be declared accurately before acceptance. The Customer is responsible for providing all required dangerous-goods declarations, safety information, packaging, labels, permits and certificates. Phran Kriz Logistics may require additional documentation, handling arrangements, charges or specialist service providers. Undeclared dangerous goods may result in refusal, removal from the shipment, additional charges, regulatory action, delays or termination of services. 9. LCL SHIPMENTS For LCL shipments, cargo may be consolidated with cargo belonging to other customers. Phran Kriz Logistics may arrange: cargo collection; receiving; weighing; measurement; storage; consolidation; documentation; container loading; transportation; deconsolidation; and final delivery. LCL shipments may involve additional handling compared with dedicated container shipments. The Customer accepts that reasonable handling is inherent in the LCL process. 10. FCL SHIPMENTS For FCL shipments, Phran Kriz Logistics may arrange container booking, collection, loading, transportation, customs procedures, port operations and delivery. Unless expressly agreed otherwise, the Customer remains responsible for providing accurate cargo details and ensuring that the cargo is properly packed and ready for loading. Where the Customer provides a container, the Customer remains responsible for ensuring that it is suitable for the cargo unless Phran Kriz Logistics has expressly accepted responsibility for container suitability. 11. SEA FREIGHT Sea freight may be performed through third-party shipping lines and carriers. Shipping schedules, vessel allocations, ports of call, equipment availability and transit times may change without prior notice. Phran Kriz Logistics does not guarantee a particular vessel, sailing, transit time or arrival date unless expressly guaranteed in writing. The Customer acknowledges that carrier terms and conditions may apply to sea transportation. 12. AIR FREIGHT Air freight services may be provided through third-party airlines, consolidators or air cargo agents. Air cargo is subject to applicable airline rules, airport procedures, security requirements, weight restrictions and regulatory requirements. Transit times are estimates unless expressly guaranteed. Additional charges may arise from security screening, storage, handling, customs procedures, weight discrepancies or other airline or airport charges. 13. TRUCKING AND INLAND TRANSPORTATION Phran Kriz Logistics may arrange transportation between: ports; airports; warehouses; factories; suppliers; distribution centres; and final delivery locations. Delivery dates and times are estimates unless expressly guaranteed. The Customer is responsible for providing accurate delivery instructions and ensuring that the delivery location is accessible and suitable for the relevant vehicle or container. Additional costs may arise from waiting time, failed delivery, restricted access, redelivery, storage or changes requested by the Customer. 14. WAREHOUSING AND STORAGE Where warehousing services are provided, the applicable storage period and charges shall be stated in the quotation, warehouse agreement or other applicable document. Additional storage charges may apply where cargo remains beyond the agreed period. The Customer shall promptly collect cargo when notified that it is available. Where permitted by applicable law and contractual arrangements, Phran Kriz Logistics may exercise a lien or other lawful rights over cargo for unpaid charges. 15. CUSTOMS CLEARANCE Phran Kriz Logistics may provide customs clearance assistance or appoint customs professionals to act on behalf of the Customer. The Customer remains responsible for: providing accurate customs information; providing genuine commercial documents; obtaining required permits; declaring the correct value and nature of goods; paying duties and taxes; complying with applicable customs requirements; and responding promptly to customs requests. Customs authorities operate independently from Phran Kriz Logistics. We do not guarantee that customs authorities will clear a shipment by a particular date or without inspection, reassessment, seizure, examination or additional charges. 16. CUSTOMS DUTIES, TAXES AND GOVERNMENT CHARGES Unless expressly included in our quotation, customs duties, taxes, levies, government charges, inspection charges and related statutory costs are payable by the Customer. Where Phran Kriz Logistics pays such amounts on behalf of the Customer, the Customer shall reimburse us promptly. 17. PROCUREMENT AND PRODUCT SOURCING Phran Kriz Logistics may assist international buyers in identifying and coordinating with manufacturers, exporters, suppliers and producers. Our sourcing services may include: supplier identification; supplier communication; quotation collection; price negotiation; order coordination; product inspection coordination; consolidation; export preparation; and transportation. Unless expressly agreed otherwise, Phran Kriz Logistics acts as a sourcing and logistics facilitator and is not the manufacturer of products sourced from independent suppliers. 18. SUPPLIER AND PRODUCT RISKS Although we seek to work with reputable suppliers, Phran Kriz Logistics does not guarantee the independent supplier's: production capacity; financial condition; product quality; intellectual property rights; regulatory compliance; product performance; delivery schedule; or continued availability. Where a Customer requires product inspection, certification, laboratory testing or quality verification, the scope and cost should be agreed before the order is placed. 19. CARGO CONSOLIDATION Where the Customer purchases goods from multiple suppliers, Phran Kriz Logistics may receive and consolidate those goods into one shipment. Consolidation may involve: supplier collection; receiving; inspection; counting; storage; repacking; palletising; documentation; container loading; and international transportation. Additional charges may apply for repacking, relabelling, storage, inspection, special handling or other services requested or required. 20. DOOR-TO-DOOR SERVICES Where a door-to-door service is agreed, Phran Kriz Logistics will coordinate the relevant stages from origin to destination. Door-to-door service does not necessarily mean that Phran Kriz Logistics physically performs every stage of transportation. We may use third-party carriers, agents, customs professionals, warehouses and delivery companies. The exact scope of the door-to-door service will be stated in the applicable quotation or service agreement. 21. SHIPPING DOCUMENTS Documents may include: Bill of Lading; Sea Waybill; Air Waybill; Commercial Invoice; Packing List; Certificate of Origin; Customs documentation; Delivery Order; Insurance documentation; and other relevant documents. Customers must carefully review documents supplied to them and promptly notify Phran Kriz Logistics of any errors. Where an amendment is required because of information originally supplied incorrectly by the Customer, applicable amendment and third-party charges may be payable by the Customer. 22. BILL OF LADING AND CARRIER TERMS Where transportation is undertaken by a shipping line or other carrier, the carrier's applicable terms, tariff, bill of lading, air waybill or other transport document may govern the carrier's obligations and liability. Nothing in these Terms is intended to override mandatory provisions of applicable transport law or an applicable transport document. 23. TRANSIT TIMES AND DELAYS Transit times provided by Phran Kriz Logistics are estimates unless expressly guaranteed in writing. Delays may result from: port congestion; vessel or aircraft changes; equipment shortages; customs inspection; government action; adverse weather; strikes; industrial disputes; security incidents; road conditions; documentation errors; carrier operational issues; storage constraints; or other circumstances outside our reasonable control. We will make commercially reasonable efforts to provide updates concerning material delays. 24. DEMURRAGE, DETENTION AND STORAGE The Customer is responsible for demurrage, detention, storage, port, terminal or equipment charges arising from circumstances attributable to the Customer, shipper, consignee, supplier, documentation, payment delays, failure to collect cargo, customs issues or other Customer-related circumstances. Where such charges are imposed by a carrier, terminal, port, warehouse or other third party, they may be passed to the Customer. 25. PAYMENT TERMS The Customer must pay all charges according to the agreed payment terms. Depending on the service, payment may be required: before shipment; before cargo release; before customs clearance; before delivery; upon invoicing; or according to an agreed credit arrangement. Phran Kriz Logistics may suspend services where amounts due remain unpaid. 26. CUSTOMER DEFAULT A Customer may be considered in default where the Customer: fails to pay amounts when due; provides false or materially incomplete information; fails to provide required documents; fails to collect cargo; tenders prohibited cargo; breaches applicable law; materially breaches these Terms; or becomes insolvent or unable to meet its obligations. We may suspend services, cancel bookings or take other lawful measures available to us. 27. CANCELLATION AND AMENDMENTS Cancellation, amendment or rerouting requests must be made promptly. Charges imposed by carriers, ports, warehouses, suppliers, customs authorities or other third parties may remain payable even where the Customer cancels the service. Once cargo has been collected, loaded, shipped, customs-cleared or otherwise committed to a third-party service, cancellation may result in substantial costs. 28. CARGO INSURANCE Unless expressly agreed in writing, Phran Kriz Logistics does not automatically provide all-risk cargo insurance. Customers are strongly encouraged to obtain appropriate insurance based on the value, nature and risks associated with their cargo. Where insurance is arranged through Phran Kriz Logistics, the applicable insurance policy and insurer's terms shall govern the coverage. 29. LOSS, DAMAGE AND SHORTAGE Customers should inspect cargo as soon as reasonably possible after delivery. Any apparent loss, shortage or damage should be notified promptly and documented with photographs, delivery records and other relevant evidence. Claims may be subject to strict notification and limitation periods imposed by: applicable law; carriers; shipping lines; airlines; insurers; transport conventions; or contractual documents. Failure to notify a claim within the applicable period may affect the Customer's ability to recover compensation. 30. LIMITATION OF LIABILITY To the maximum extent permitted by applicable law, Phran Kriz Logistics shall not be liable for indirect, consequential, special or economic losses, including loss of profit, loss of business, loss of market, loss of anticipated savings or loss of opportunity arising from delay, interruption or failure of service. Where our liability is established, our liability shall be subject to: any mandatory liability imposed by applicable law; the applicable carrier's terms; the relevant transport document; any applicable international transport convention; and any specific written agreement between Phran Kriz Logistics and the Customer. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. 31. INDEMNITY To the extent permitted by applicable law, the Customer shall indemnify and hold harmless Phran Kriz Logistics, its employees, agents and service providers against reasonable losses, claims, penalties, costs and expenses arising from: inaccurate cargo declarations; prohibited or undeclared goods; inadequate packaging; incorrect documentation; failure to obtain required permits; breach of customs or import/export requirements; infringement of third-party intellectual property rights relating to Customer's goods; Customer's breach of these Terms; or acts or omissions of the Customer, its agents, suppliers or representatives. This provision does not apply to the extent that the relevant loss resulted from Phran Kriz Logistics' own unlawful conduct or liability that cannot legally be excluded. 32. LIEN AND RIGHT TO RETAIN CARGO To the extent permitted by applicable Ghanaian law and any applicable contractual or transport arrangements, Phran Kriz Logistics may retain possession or control of cargo, documents or other property in our possession where amounts properly due to us remain unpaid. Where legally permitted, this right may extend to amounts due in respect of other shipments or services provided to the same Customer. Any enforcement of a lien or similar right will be undertaken in accordance with applicable law. 33. FORCE MAJEURE Phran Kriz Logistics shall not be liable for failure or delay caused by circumstances beyond our reasonable control. Such circumstances may include: natural disasters; floods; fires; epidemics or pandemics; war; terrorism; civil unrest; government restrictions; port closure; strikes; industrial disputes; cyber incidents; severe weather; carrier failures; road closures; customs actions; shortages of equipment; changes in law; or other events beyond our reasonable control. We will make reasonable efforts to mitigate the effects of such events. 34. COMPLIANCE WITH LAW The Customer must comply with all applicable laws and regulations relating to: importation; exportation; customs; taxation; sanctions; product safety; licensing; intellectual property; transportation; environmental requirements; and other applicable regulatory obligations. Phran Kriz Logistics may refuse or terminate services where continuing the transaction could reasonably expose us to legal, regulatory or reputational risk. 35. ANTI-FRAUD AND ANTI-CORRUPTION Phran Kriz Logistics does not authorise or condone bribery, fraud, corruption, falsification of documents or other unlawful conduct. Customers must not request or encourage our employees, agents or service providers to make unlawful payments or provide false information to government officials, customs authorities, carriers or other parties. 36. WEBSITE AND ELECTRONIC COMMUNICATIONS Our website and electronic communications may be used to request quotations, submit enquiries, exchange documents and communicate regarding services. Where legally valid, electronic communications and records may constitute evidence of transactions, instructions, approvals or agreements. The Customer is responsible for ensuring that contact details supplied to us are accurate and that communications sent to those details can be received. 37. INTELLECTUAL PROPERTY All trademarks, logos, text, graphics, photographs, designs and other intellectual property appearing on our website or in our materials belong to Phran Kriz Logistics or their respective owners. No licence is granted to reproduce or commercially exploit such materials without prior written permission. 38. CONFIDENTIALITY Each party shall use reasonable efforts to protect confidential commercial information received from the other party. Confidential information may include: pricing; customer information; supplier information; business strategies; shipment information; commercial terms; and non-public operational information. This obligation does not prevent disclosure required by law, customs authorities, courts, regulators, carriers, insurers or other legitimate service providers. 39. PRIVACY Personal information collected through our website or services will be handled in accordance with our Privacy Policy and applicable Ghanaian data protection requirements. Our Privacy Policy forms a separate document and explains how we collect, use, disclose and protect personal information. 40. THIRD-PARTY SERVICES Where we use third-party providers, their own terms may apply. We will exercise reasonable care in selecting and coordinating service providers but cannot guarantee the acts or omissions of independent third parties. Nothing in these Terms removes any rights or remedies the Customer may have directly against a carrier, insurer, supplier or other third party. 41. COMPLAINTS AND CLAIMS Customers should first submit complaints to Phran Kriz Logistics so that we have an opportunity to investigate and resolve the matter. A claim should include, where applicable: shipment reference; invoice; bill of lading or air waybill; photographs; delivery documents; packing list; proof of value; inspection report; and other relevant supporting evidence. Claims remain subject to applicable contractual and statutory limitation periods. 42. DISPUTE RESOLUTION The parties shall first attempt in good faith to resolve any dispute through negotiation. Where negotiation does not resolve the dispute, either party may pursue any remedy available under applicable Ghanaian law. Nothing in this clause prevents a party from seeking urgent interim or protective relief from a court of competent jurisdiction where necessary. 43. GOVERNING LAW AND JURISDICTION These Terms shall be governed by the laws of the Republic of Ghana, subject to any mandatory law applicable to a particular shipment or transport contract. Subject to any applicable arbitration agreement or mandatory jurisdictional rules, the courts of competent jurisdiction in Ghana shall have jurisdiction over disputes arising from these Terms. 44. SEVERABILITY If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision shall be modified or severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. 45. NO WAIVER Failure by Phran Kriz Logistics to enforce any provision of these Terms shall not constitute a waiver of our right to enforce that provision later. 46. ASSIGNMENT The Customer may not assign its rights or obligations under these Terms without our prior written consent, except where permitted by law. Phran Kriz Logistics may assign or subcontract its rights and obligations where reasonably necessary to perform the services or as part of a corporate restructuring, merger or transfer of business. 47. ENTIRE AGREEMENT These Terms, together with the applicable quotation, booking confirmation, invoice, service agreement and relevant transport documents, constitute the agreement governing the applicable services. Any variation should be confirmed in writing by an authorised representative of Phran Kriz Logistics. 48. AMENDMENTS Phran Kriz Logistics may update these Terms from time to time. The latest version will be published on our website with the applicable effective date. Changes will not automatically alter a shipment already governed by a separately executed written agreement unless legally permitted or agreed by the parties. 49.
